1. Scope & B2B Restriction

These Terms of Service ("Terms") govern the use of the website www.cyranosales.com, the application app.cyranosales.com, and our Chrome Extension (collectively, the "Service") provided by Histack, Inc. ("Company", "we", "us").

IMPORTANT B2B NOTICE: The Service is strictly intended for business customers (B2B). By signing up, you represent and warrant that you are acting as an entrepreneur, company, or commercial entity, and NOT as a consumer (as defined in § 13 BGB, EU Consumer Rights Directive, or similar consumer protection laws).

2. Service Description & Early Access

Early Access: The Service is currently in an "Early Access" phase. You acknowledge that the Service may contain bugs, errors, and other problems that could cause system or other failures and data loss. The Service is provided "AS IS" and "AS AVAILABLE." We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Intellectual Property & AI Usage Rights

Your Content: You retain ownership of all texts and other content ("User Content") you upload to the Service.

License to Company: By using the Service, you grant Histack, Inc. a worldwide, royalty-free, non-exclusive license to access, store, process, and use your User Content solely for the purpose of providing, maintaining, and improving the Service.

AI Processing & Training: You explicitly acknowledge and agree that we may process your User Content through Artificial Intelligence (AI) models to generate sales insights, training feedback, and suggested sales lines ("Sales Whisperer") for you, and to improve the accuracy of models used specifically for your account.

Confidentiality: We will not share your raw User Content with third parties, except as required for sub-processors (e.g., cloud hosting, AI APIs) needed to deliver the Service.

4. Fees & Payment

Subscriptions: Services are billed on a subscription basis (e.g., Monthly or Yearly) via our payment processor, Stripe.

Taxes: Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes.

Cancellation: You may cancel your subscription at any time via your account settings. The cancellation takes effect at the end of the current paid billing period. We do not provide refunds for partial months.

5. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Histack, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits or data).
  • Our total aggregate liability for any claim arising out of or relating to these Terms is limited to the amount you paid us in the 12 months preceding the claim.

For customers in Germany: The limitation of liability does not apply to damages resulting from injury to life, body, or health, or for intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit).

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
