1. Scope & B2B Restriction

These Terms of Service ("Terms") govern the use of the website www.cyranosales.com, the application app.cyranosales.com, and our Chrome Extension (collectively, the "Service") provided by Histack, Inc. ("Company", "we", "us").

IMPORTANT B2B NOTICE: The Service is strictly intended for business customers (B2B). By signing up, you represent and warrant that you are acting as an entrepreneur, company, or commercial entity, and NOT as a consumer (as defined in § 13 BGB, EU Consumer Rights Directive, or similar consumer protection laws).

2. Service Description & Early Access

Early Access: The Service is currently in an "Early Access" phase. You acknowledge that the Service may contain bugs, errors, and other problems that could cause system or other failures and data loss. The Service is provided "AS IS" and "AS AVAILABLE." We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Intellectual Property & AI Usage Rights

Your Content: You retain ownership of all texts and other content ("User Content") you upload to the Service, as well as the final AI-generated outputs created for you based on those inputs.

License to Company: By using the Service, you grant Histack, Inc. a worldwide, royalty-free, non-exclusive license to access, store, process, and use your User Content solely for the purpose of providing, maintaining, and improving the Service.

Aggregated Data & Feedback: Cyranosales retains all intellectual property rights to the Service's underlying technology, models, and internal prompts. If you provide any feedback, testimonials, or feature requests via email, support chat, or surveys, you grant Cyranosales a perpetual, royalty-free license to use them to improve the Service and to use such quotes (anonymized unless explicit consent is given for your name) in public marketing materials without compensation.

AI Processing & Training: You explicitly acknowledge and agree that we may process your User Content through Artificial Intelligence (AI) models to generate sales insights, training feedback, and suggested sales lines ("Sales Whisperer") for you.

Product Telemetry & Communications: We track internal user telemetry (e.g., login frequency, feature usage, message generation volume) to improve the product and to allow our customer success and sales teams to contact you with tailored training, feature recommendations, or subscription upgrade offers.

Aggregated and anonymized usage: You grant Cyranosales a perpetual right to aggregate and anonymize your usage data (including outreach messages) to publish data science reports, improve the Service, or for marketing, provided you remain completely unidentifiable.

Google API Limited Use: Notwithstanding anything to the contrary in these Terms, data obtained via Google Workspace APIs will not be used for marketing, advertising, or developing generalized AI models, in strict compliance with the Google API Services User Data Policy.

Output Accuracy: AI-generated content may be incorrect, inappropriate, or hallucinated and is provided "AS IS". You are solely responsible for how you use the Service—including reviewing, approving, or (if available) configuring any automated sending—and for compliance with law and third-party platform rules. Cyranosales is not liable for lost business, reputational damage, or third-party claims (including platform enforcement actions) arising from your use of the Service or any messages sent through it.

Confidentiality: We will not share your raw User Content with third parties, except as required for sub-processors (e.g., cloud hosting, AI APIs) needed to deliver the Service.

4. Fees, Payment, & Termination

Subscriptions: Services are billed on a subscription basis (e.g., Monthly or Yearly) via our payment processor, Stripe. Subscriptions automatically renew unless canceled prior to the renewal date.

Seat Licensing: Each purchased seat is licensed to a single identifiable individual; sharing credentials across multiple users is strictly prohibited.

Taxes: Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes.

Cancellation & Refunds: You may cancel your subscription at any time via your account settings. The cancellation takes effect at the end of the current paid billing period. All payments are non-refundable unless otherwise required by law. We do not provide refunds for partial months.

Suspension: Cyranosales reserves the right to immediately suspend or terminate your account without refund if you violate our Acceptable Use Policy.

5. Acceptable Use Policy (AUP) & Third-Party Platforms

You agree not to use the Service to:

  1. reverse engineer, decompile, or attempt to derive the source code or underlying AI models of the Service;
  2. transmit spam, phishing links, malware, or illegal, hateful, or discriminatory content;
  3. violate the Terms of Service of any third-party platform (such as LinkedIn) you interact with using our Service.

You acknowledge that Cyranosales is not liable if your account on any third-party platform is restricted, suspended, or banned as a result of your use of our Service. You acknowledge and agree that any extraction or automation of data from third-party platforms may violate their Terms of Service. Cyranosales provides no warranty that the Service will not trigger account restrictions or bans. You are solely responsible for obtaining any required lawful basis to process target data and for complying with all platform rules. Additionally, you agree to comply with the Acceptable Use Policies of our third-party AI providers (e.g., OpenAI, Anthropic) powering the Service.

6. Indemnification & Limitation of Liability

Indemnification: You agree to indemnify and hold Cyranosales harmless from any claims, damages, or legal fees arising from your breach of these Terms, third-party platform terms, or scraping of copyrighted/private data.

Limitation of Liability: To the fullest extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including implied warranties of merchantability or uptime. We do not guarantee specific outreach success rates.

  • Histack, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits or data).
  • Our total aggregate liability for any claim arising out of or relating to these Terms is limited to the amount you paid us in the 12 months preceding the claim.

For customers in Germany: The limitation of liability does not apply to damages resulting from injury to life, body, or health, or for intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit).

7. Governing Law, Arbitration, & Modifications

Dispute Resolution: Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Delaware, rather than in court. You waive any right to participate in a class action lawsuit.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Modifications: Cyranosales reserves the right to modify these Terms at any time to the extent permitted by applicable law (including the EU Data Act where it applies); your continued use of the Service after the effective date of any changes constitutes your acceptance.

8. General Provisions

Marketing Rights: You grant Cyranosales a non-exclusive, royalty-free right to use your company name, logo, and anonymized/aggregated success metrics in our marketing materials, website, and sales collateral. Upon successful onboarding, you agree to reasonably cooperate in creating a brief case study or written testimonial. You may opt-out of this referenceable customer requirement at any time by emailing info@histack.io.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement & No Waiver: These Terms constitute the entire agreement between you and Cyranosales regarding the Service. Our failure to enforce any right or provision will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction (e.g., in connection with a merger or sale of assets).

Force Majeure: Cyranosales shall not be liable for any failure or delay resulting from conditions beyond our reasonable control (e.g., natural disasters, platform API outages, or internet failures).
